LEGAL PROCEEDINGS**\n\n \n\n*“Item\n3. Legal Proceedings” in our Annual Report on Form 10-K for the year ended December 31, 2025 filed with the SEC on March 30, 2026\nincludes a discussion of our legal proceedings.*\n\n \n\nOther\nthan as set forth below, there have been no material updates to the legal proceedings previously disclosed in our Annual Report on Form\n10-K.\n\n \n\nOn\nFebruary 13, 2026, a putative consumer class action captioned Berdner et al v. Dragonfly Energy Holdings Corp. d/b/a Battle Born, was\nfiled against the Company in the Superior Court of the State of California, County of Sonoma, Case No. 26CV01247. We were served with\nthe complaint on March 31, 2026. The case was removed to Northern District of California on April 30, 2026. The plaintiffs purport to\nrepresent four classes of purchasers of certain “Battle Born” branded 100 amp-hour 12V LiFePo4 batteries. They allege that\nthe products share a uniform design defect related to the positive terminal connection that can result in overheating, premature failure,\nand safety risk. The complaint asserts violations of various state consumer protection statutes, breach of express and implied warranties\n(including under California law), and false advertising, and seeks damages, restitution, injunctive relief, punitive damages, and attorneys’\nfees.\n\n \n\nWe\nbelieve that the claims are without merit and intend to vigorously defend this matter. No trial date has been set as of the date of this\nreport. We are unable at this time to reasonably estimate a range of possible loss or determine whether an adverse outcome is probable;\naccordingly, no liability has been recorded related to this matter as of the date of this report."}
